US Foods Holding Corp. recently announced it has implemented a series of changes following a governance review by its Board of Directors. The foodservice distributor stated the changes to its executive structure are consistent with its commitment to best practices of corporate governance.
Effective immediately, noted the release, the Board will be separating the roles of Chief Executive Officer and Chair. As a result, independent lead director Robert M. Dutkowsky will step up as non-executive Chair while Pietro Satriano continues as CEO and a Director of the Board.
Additionally, US Food’s Board elected Cheryl A. Bachelder to serve as Chair of the Compensation Committee of the Board. Ann E. Ziegler has also been appointed to now serve as Chair of the Nominating and Corporate Governance Committee of the Board. Both appointments are effective immediately.
